Job Duties

  • Lead the corporate secretarial function for the group with various legal forms of entities established offshore and across the Asia Pacific region
  • Manage the incorporation and management of investment/fund and corporate entities
  • Prepare catered corporate resolutions, organize meetings for various board of directors, prepare minutes, and following up on implementation of decisions made when required
  • Work closely with internal and external legal counsel on corporate secretarial work required for the Group’s fund life cycle.  This includes the regulatory reporting according to requirements of various jurisdictions, primarily in the US, Cayman Islands, Hong Kong, Singapore, and Mauritius
  • Actively participate in execution of business transactions and collaborate with professional third-parties and service providers in various jurisdictions to establish and manage special purpose vehicles
  • Prepare, maintain and update corporate records and filings and report to the headquarters on organization changes
  • Manage budget and expenses, and supervise a small team

Requirements

  • Degree holder and HKCGI / CGI qualified highly preferred
  • 10 years relevant and progressive experience with substantial exposure in financial services background.  Good candidates from professional firm with FS portfolio will also be considered
  • Well verse in company laws and corporate governance practice to various jurisdiction
  • Self-motivated with solid track record and ability to under a fast-paced environment
  • Excellent command of written and spoken English is important
  • Team management skills would be an asset
